OFFICIAL RULES AND REGULATIONS: TAVI BEST FRIENDS DAY GIVEAWAY  

THESE TERMS ARE IN ADDITION TO THOSE EXPRESSLY STATED ON ANY PROMOTIONAL MATERIALS. NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT INCREASE THE CHANCES OF WINNING.

1.  Sponsor and Prize Providers The Giveaway is sponsored by Thirty Three Threads, Inc. (“Sponsor”). Prize providers include TAVI (collectively, the ‘Prize Providers’). Sponsor is solely responsible for the administration of the Giveaway. Prize Providers are responsible only for providing the specified prize components.

2.   Eligibility. The Giveaway is open only to legal residents of the United States who are at least eighteen (18) years old at the time of entry. Employees of Sponsor, Prize Providers, their affiliates, subsidiaries, advertising and promotion agencies, and immediate family members or household members are not eligible. The Giveaway is subject to all applicable federal, state, and local laws and regulations and is void where prohibited.

3.    Agreement to Terms and Rules. By participating in the Giveaway, you agree to be fully and unconditionally bound by these Official Rules and represent and warrant that you meet all eligibility requirements. You further agree to accept the decisions of the Sponsor as final and binding in all matters relating to the Giveaway.

4.   Giveaway Period. The Giveaway begins on June 8, 2026 and ends on June 17, 2026 at 11:59 p.m. PT (“Giveaway Period”). Entries submitted before or after the Giveaway Period will not be eligible.

5.     How to Enter. To enter via Instagram: Like and save the Giveaway post. Follow @taviactive. Tag at least one (1) person in the comments (each additional tag counts as an additional entry). Bonus Entry (optional): Share the Giveaway post to your Instagram Story, tag both brands, and include #GiveawayEntry. Bonus entries may not be visible due to platform limitations and will be counted at Sponsor’s reasonable discretion. Entry must fulfill all Giveaway requirements to be eligible to win a prize. Entries that are incomplete or do not adhere to the rules or specifications may be disqualified at the reasonable discretion of Sponsor.  Entries must not contain unlawful, defamatory, obscene, or infringing content, and Sponsor reserves the right to disqualify any such entries. Use of automated systems, bots, or multiple accounts to enter is prohibited and may result in disqualification. If fraudulent methods are used or the Rules are otherwise circumvented, your submission may be removed from eligibility at the reasonable discretion of Sponsor. Entries must be submitted during the Giveaway Period to be eligible.   

6.     Prize.  Two (2) winners will receive: (1) $250 Gift Card to taviactive.com Total Approximate Retail Value (“ARV”): $250.00. Actual value may vary. If applicable, any membership, service, event, or experience portion of the prize is subject to the terms, conditions, availability, restrictions, and policies of the applicable provider. Such prize component may be subject to blackout dates, scheduling limitations, capacity restrictions, geographic limitations, expiration dates, and provider-specific requirements. If the winner is not located within a reasonable distance of a participating location, is unable to redeem a location-based prize, or is otherwise unable to use all or part of the prize, Sponsor reserves the right, in its sole discretion, to substitute that portion of the prize with an alternative prize of equal or greater value. No cash substitution or transfer of the prize is permitted except at Sponsor’s discretion.

7.     Odds. The odds of winning depend on the total number of eligible entries received.

8.    Winner Selection and Notification Winner will be selected in a random drawing on or about January 11, 2026 and notified via Instagram direct message and/or email. Winner must respond within 48 hours or the prize may be forfeited and an alternate winner selected. Sponsor is not responsible for unsuccessful attempts to notify a winner due to spam filters, junk mail settings, incorrect contact information, account settings, inactive accounts, platform limitations, or other technical issues. If the selected winner cannot be contacted, is found to be ineligible, fails to timely respond, fails to timely execute and return any requested affidavit, release, tax form, or other documentation, or otherwise fails to comply with these Official Rules, the selected winner may be disqualified and an alternate winner may be selected.

9.     Taxes and Documentation. Winner is solely responsible for all taxes associated with the prize. As a condition of receiving the prize, the winner may be required to complete and return an IRS Form W-9, an Affidavit of Eligibility, a Liability Release, and/or any other documentation reasonably requested by Sponsor, including any tax forms required for Sponsor to comply with applicable law.

10.  Rights Granted by Entrants. By entering, participants grant Sponsor and its designees the right, where permitted by law, to use their name, likeness, social media handle, and entry content for promotional, advertising, and marketing purposes in any media worldwide without further notice or compensation.

11.   Terms. Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend the Giveaway if fraud, technical failures, unauthorized human intervention, platform issues, or any other cause beyond Sponsor’s control affects the administration, security, fairness, or proper operation of the Giveaway. In that event, Sponsor may select a winner from eligible entries received before the issue occurred, if appropriate. Sponsor also reserves the right to disqualify any individual who tampers with the entry process, attempts to undermine the legitimate operation of the Giveaway, uses automated systems or multiple accounts to enter, or otherwise violates these Official Rules. Any attempt to deliberately damage any website, platform, or entry process related to the Giveaway may violate criminal and civil laws, and Sponsor reserves the right to seek damages to the fullest extent permitted by law.

12.   Limitation of Liability. By entering, participants agree to release and hold harmless Sponsor, Prize Providers, Instagram, Meta, and each of their respective affiliates, subsidiaries, advertising and promotion agencies, representatives, agents, successors, assigns, employees, officers, and directors from any claim, liability, injury, loss, damage, or expense arising out of or related to participation in the Giveaway, the acceptance, possession, use, or misuse of any prize, technical failures, platform issues, unauthorized human intervention, or errors in the administration of the Giveaway or processing of entries.

13.   Instagram Disclaimer.  This promotion is in no way sponsored, endorsed, administered by, or associated with Instagram or Meta. By participating, each entrant fully releases Instagram and Meta from any and all claims arising out of or related to the Giveaway.

14.   Disputes.  THIS GIVEAWAY IS GOVERNED BY THE FEDERAL AND STATE LAWS OF THE UNITED STATES OF AMERICA AND CALIFORNIA, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Giveaway, participant agrees that any and all disputes, claims, or causes of action arising out of or connected with this Giveaway shall be resolved individually, without resort to any form of class action, by binding arbitration. The arbitration shall be conducted on an individual basis only and not as a class, collective, representative, or consolidated action. Further, in any such dispute, under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim punitive, incidental, or consequential damages, including reasonable attorneys’ fees, other than participant’s actual out-of-pocket expenses, if any, associated with entering this Giveaway, and participant further waives all rights to have damages multiplied or increased.

15.   Privacy / CCPA Disclosure. Information submitted in connection with an entry may be collected, used, and shared by Sponsor as reasonably necessary to administer the Giveaway, verify eligibility, contact winners, award prizes, comply with legal or tax obligations, prevent fraud, and maintain records. Sponsor does not sell participant personal information. California residents may have rights under the California Consumer Privacy Act, as amended, subject to applicable exceptions. The TAVI Active mobile message service (the "Service") is operated by Tavi Active (“TAVI Active”, “we”, or “us”). Your use of the Service constitutes your agreement to these terms and conditions (“Mobile Terms”). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.

By consenting to TAVI Active’s SMS/text messaging service, you agree to receive recurring SMS/text messages from and on behalf of TAVI Active through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialing system or other technology. Service-related messages may include updates, alerts, and information (e.g., order updates, account alerts, etc.). Promotional messages may include promotions, specials, and other marketing offers (e.g., cart reminders).

You understand that you do not have to sign up for this program in order to make any purchases, and your consent is not a condition of any purchase with TAVI Active. Your participation in this program is completely voluntary.

The wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program with your new number.

To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.
